Effective date: The date displayed when these Terms are published or last updated on Univerax.
1.1. These Terms of Use (“Terms”) form a legally binding agreement between you and Zenlyai OÜ, trading as Univerax (“Univerax,” “we,” “us,” or “our”), concerning your access to and use of Univerax, its websites, applications, interfaces, tools, communications, and related services (collectively, the “Platform”).
1.2. Our registered address is Harju maakond, Tallinn, Kesklinna linnaosa, Veskiposti tn 2-1002, 10138 https://ariregister.rik.ee/eng/company/17160305, Estonia. Our registration number is 17160305, and our tax and VAT numbers are 987965660 and , respectively.
1.3. By creating an account, clicking to accept these Terms, purchasing or supplying an Offering, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agreed to these Terms.
1.4. If you do not agree to these Terms, you must not access or use the Platform.
1.5. If you use the Platform on behalf of a company or another legal entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and the entity.
1.6. Mandatory rights available to consumers or other users under applicable law are not excluded or restricted by these Terms.
For these Terms:
2.1. “Consumer” means an individual acting mainly for purposes outside that individual’s trade, business, craft, or profession.
2.2. “Creator” means an author, seller, professional, service provider, host, educator, consultant, or other person or organisation that publishes Content, offers products, Digital Content or Services, accepts Bookings, or otherwise conducts commercial or professional activity through the Platform.
2.3. “Customer” means a person who views, orders, purchases, licenses, books, or receives an Offering.
2.4. “Content” means text, images, audio, video, software, data, reviews, messages, profiles, Digital Twins, AI outputs, listings, and other materials made available through the Platform.
2.5. “Digital Content” means data produced and supplied in digital form, including downloads, recordings, publications, courses, templates, software, and other digitally delivered materials.
2.6. “Digital Twin” means a user-configured or authorised digital representation, interactive profile, agent, avatar, knowledge-based model, or similar feature that may simulate or assist with communications, recommendations, or other activities.
2.7. “Offering” means any physical product, Digital Content, Service, Booking, membership, subscription, or other item offered through the Platform.
2.8. “Service” means an activity, professional service, consultation, experience, access right, subscription, or other service supplied by Univerax or a Creator.
2.9. “Booking” means a reservation or scheduled appointment for a Service, event, session, facility, or experience.
2.10. “User Content” means Content uploaded, submitted, generated, transmitted, or otherwise made available by a user.
3.1. Univerax provides technology that may enable users to:
a. create profiles and professional or social networks;
b. publish, discover, promote, purchase, license, or sell Offerings;
c. arrange Services and Bookings;
d. communicate and collaborate;
e. process or facilitate payments;
f. access analytics, recommendations, AI tools, and Digital Twin features; and
g. use other functionality made available from time to time.
3.2. Unless the checkout page, listing, or applicable terms expressly identify Univerax as the seller or service provider, Univerax acts as an online marketplace or intermediary connecting Customers with independent Creators.
3.3. A Creator, rather than Univerax, is generally responsible for the accuracy, legality, quality, safety, availability, performance, conformity, and delivery of that Creator’s Offering. The identity and status of the contracting Creator should be presented in the relevant listing or transaction flow where required by law.
3.4. A Creator is not an employee, worker, partner, franchisee, representative, or agent of Univerax merely because the Creator uses the Platform. Creators do not have authority to bind Univerax.
3.5. Univerax may provide payment processing, customer support, delivery tools, scheduling, hosting, moderation, or dispute-facilitation services without becoming the Creator or supplier of an Offering.
3.6. Nothing in this Section limits responsibility that applicable law places directly on Univerax, including responsibility for services supplied by Univerax itself.
4.1. You must have the legal capacity to enter into these Terms.
4.2. You must be at least 18 years old to create an independent account, purchase an Offering, act as a Creator, receive payouts, or use features intended for adults, unless the Platform expressly supports a different age with legally valid parental or guardian authorisation.
4.3. You must provide accurate, current, and complete information and keep it updated.
4.4. You are responsible for:
a. maintaining the confidentiality of your login credentials;
b. activities conducted through your account, except to the extent caused by Univerax or otherwise provided by law;
c. using appropriate security measures; and
d. promptly notifying us of suspected unauthorised access.
4.5. You must not create an account using a false identity, impersonate another person, conceal a commercial status where disclosure is required, or create accounts to evade a restriction or enforcement decision.
4.6. We may require reasonable identity, age, business, tax, payment, or authority verification. Failure to complete required verification may prevent access to particular functions, transactions, or payouts.
4.7. Account verification does not constitute an endorsement, warranty, or guarantee of any user.
5.1. These Terms incorporate, where applicable:
a. the Privacy Policy;
b. the Cookies Policy;
c. the Author Terms;
d. the License Terms;
e. the Refund Policy;
f. the Community Guidelines;
g. applicable payment, booking, cancellation, moderation, AI, Digital Twin, and other policies published in the Legal Hub; and
h. transaction-specific terms clearly presented before an order or commitment.
5.2. If two documents conflict, the more specific terms govern the relevant subject matter. Transaction-specific terms govern the relevant transaction, followed by the applicable subject-specific policy, and then these Terms. Mandatory law always prevails.
5.3. The Author Terms apply in addition to these Terms when you act as a Creator.
5.4. The License Terms govern the Customer’s permitted use of licensed Digital Content unless a valid, clearly disclosed, transaction-specific licence applies.
5.5. The Refund Policy governs refund administration and must be read together with any mandatory cancellation, withdrawal, conformity, repair, replacement, or reimbursement rights under applicable law.
6.1. You must use the Platform lawfully, honestly, and in accordance with these Terms.
6.2. You must not:
a. upload, offer, promote, request, purchase, or distribute illegal Content, products, or Services;
b. infringe intellectual property, privacy, publicity, confidentiality, consumer, or other rights;
c. engage in fraud, deception, impersonation, manipulation, money laundering, or unauthorised financial activity;
d. publish materially false, misleading, or incomplete listings or claims;
e. harass, threaten, exploit, discriminate against, or endanger another person;
f. publish sexual exploitation or abuse material, facilitate trafficking, or otherwise harm minors;
g. introduce malware, malicious code, or harmful technical material;
h. bypass access controls, security measures, usage limits, payment flows, or enforcement actions;
i. scrape, harvest, extract, or systematically collect Platform data except where expressly authorised or protected by mandatory law;
j. reverse engineer or attempt to derive source code except where that restriction is prohibited by law;
k. use automated systems in a way that imposes an unreasonable load, disrupts the Platform, or violates published technical instructions;
l. manipulate reviews, recommendations, rankings, engagement, referrals, commissions, or analytics;
m. send spam or unauthorised commercial communications;
n. use another person’s image, voice, identity, likeness, data, or intellectual property to create or operate AI or Digital Twin features without a valid legal basis and all necessary permissions; or
o. assist another person in doing any of the above.
6.3. More detailed restrictions may appear in the Community Guidelines, Prohibited Products and Services Policy, intellectual property rules, and other applicable policies.
7.1. Creators are responsible for ensuring that their Offerings and conduct comply with applicable laws and the Author Terms.
7.2. A Creator must provide accurate and sufficiently complete information about each Offering, including, as applicable:
a. the Creator’s identity and trader status;
b. principal characteristics and compatibility requirements;
c. total price and applicable charges;
d. fulfilment, delivery, access, or Booking arrangements;
e. cancellation, withdrawal, and refund conditions;
f. relevant risks, limitations, and prerequisites; and
g. legally required safety, licensing, tax, and regulatory information.
7.3. Creators must possess all registrations, qualifications, licences, insurance, consents, and permissions required for their Offerings.
7.4. Creators may not impose terms on Customers that conflict with these Terms, applicable Platform policies, or mandatory law.
7.5. Univerax may request evidence supporting a listing or Creator claim and may delay publication, restrict access, or take proportionate action where necessary to protect users, comply with law, or enforce Platform rules.
8.1. Listings are generally invitations to place an order and do not necessarily constitute binding offers.
8.2. Before submitting an order, the Customer will have an opportunity to review the information presented in the checkout or transaction flow and correct identifiable input errors.
8.3. A contract for an Offering is formed as stated in the relevant transaction flow, confirmation, or Creator terms. An automated acknowledgement of receipt does not necessarily mean that an order has been accepted.
8.4. An order may be rejected or cancelled where reasonably necessary because of:
a. unavailability or an obvious pricing or listing error;
b. failed or reversed payment;
c. suspected fraud or unauthorised activity;
d. a legal, regulatory, sanctions, or safety concern;
e. a breach of these Terms; or
f. an inability to fulfil the order.
8.5. If a paid order is cancelled and no amount is lawfully due, the relevant payment will be refunded in accordance with the Refund Policy and applicable law.
8.6. Customers must provide accurate fulfilment, contact, and Booking information and cooperate reasonably with delivery or performance.
9.1. The applicable Creator is responsible for the description, legal compliance, safety, conformity, packaging, fulfilment, and delivery of a physical product unless Univerax is expressly identified as its seller.
9.2. Delivery estimates are estimates unless expressly agreed as guaranteed or required by law.
9.3. Risk and ownership pass as stated in the applicable transaction terms and mandatory law. Nothing in these Terms transfers risk to a Consumer earlier than permitted by applicable law.
9.4. Statutory rights concerning faulty, unsafe, misdescribed, or non-conforming goods remain unaffected.
10.1. Digital Content is licensed, not sold, except where the applicable transaction expressly provides otherwise.
10.2. Your use of Digital Content is subject to the License Terms and any licence conditions disclosed before purchase.
10.3. Unless authorised, you must not copy, redistribute, resell, publicly communicate, sublicense, remove rights-management information from, or create unauthorised derivative works from Digital Content.
10.4. The listing or pre-contract information should identify material functionality, compatibility, interoperability, technical protection measures, access conditions, and any known geographic or device restrictions where applicable.
10.5. Where immediate supply begins during a statutory withdrawal period, any loss of a Consumer’s withdrawal right applies only if all conditions required by law have been satisfied, including any required prior express consent, acknowledgement, and confirmation. Nothing in these Terms creates a waiver where those conditions have not been met.
10.6. Mandatory remedies for Digital Content or digital services that are not supplied, are defective, or do not conform to the contract remain unaffected.
11.1. The relevant Creator is responsible for performing a Creator-supplied Service with the qualifications, professional care, and legal compliance required by the contract and applicable law.
11.2. Booking availability may change until a Booking is confirmed.
11.3. Customers and Creators must comply with the cancellation, rescheduling, lateness, attendance, and no-show conditions disclosed before confirmation and any applicable Platform policy.
11.4. Any request for a Service to begin during a statutory withdrawal period, and any consequence for the right of withdrawal, is effective only to the extent permitted by law and after obtaining any consent or acknowledgement required by law.
11.5. Univerax does not guarantee the outcome of professional, educational, advisory, health-related, creative, or other Creator-supplied Services.
11.6. Users must independently assess whether a Service is suitable for their needs. Platform Content must not be treated as emergency assistance or as a substitute for qualified professional advice where professional evaluation is required.
12.1. Prices, taxes, fees, commissions, exchange-rate information, and other charges applicable to a transaction will be disclosed through the Platform or applicable terms before they become binding, as required by law.
12.2. Payments may be processed by third-party payment service providers. Their terms and privacy practices may also apply.
12.3. You authorise Univerax and its payment partners to process charges, refunds, reversals, commissions, and other transaction amounts in accordance with your instructions, the relevant transaction, and applicable policies.
12.4. Creators may be subject to Platform fees, commissions, reserves, set-offs, withholding, verification, and payout conditions described in the Author Terms or applicable payment policy.
12.5. Univerax may withhold or delay a transaction or payout where reasonably necessary to investigate fraud, chargebacks, disputes, legal compliance, sanctions, security risks, or a material breach. We will provide available reasons unless prohibited by law or doing so would undermine fraud prevention, security, or an investigation.
12.6. Each user is responsible for taxes, reporting, invoices, and records applicable to that user, except where Univerax is legally required to collect, deduct, report, or remit an amount.
12.7. A failed, reversed, disputed, or unauthorised payment may result in cancellation, recovery of amounts owed, restriction of transaction functions, or other proportionate action.
13.1. Refund eligibility depends on the type of Offering, the contracting party, the reason for the request, the disclosed transaction terms, the Refund Policy, and applicable law.
13.2. Physical products, Digital Content, Services, and Bookings may be subject to different withdrawal, cancellation, and remedy rules.
13.3. No provision of these Terms or the Refund Policy limits mandatory Consumer rights, including statutory rights concerning withdrawal, non-delivery, lack of conformity, defective goods, deficient digital content, or improperly performed services.
13.4. To request assistance, contact support@univerax.com or use any dispute or support mechanism available on the Platform.
14.1. The Platform may allow users to follow, connect with, message, mention, review, collaborate with, or otherwise interact with other users.
14.2. Users control their own communications and must respect the recipient’s consent, preferences, privacy, and applicable communications laws.
14.3. Visibility settings may affect who can access Content but do not guarantee confidentiality. Do not publish information that you are not authorised or prepared to share with the relevant audience.
14.4. Univerax may provide tools to block, mute, report, unfollow, or restrict interactions.
14.5. We do not guarantee the identity, intentions, qualifications, or conduct of other users, even where verification indicators are displayed.
15.1. Reviews must reflect genuine experiences and must not be purchased, coerced, fabricated, selectively manipulated, or submitted in exchange for an undisclosed benefit.
15.2. Users must disclose material incentives or commercial relationships connected with a review or endorsement.
15.3. Univerax may use reasonable processes to verify that reviews relate to genuine interactions and may label verified, incentivised, edited, or otherwise relevant review characteristics.
15.4. We may decline to publish or may remove reviews that are unlawful, deceptive, irrelevant, abusive, privacy-invasive, or contrary to the Review Policy.
15.5. Moderation of a review does not mean that Univerax endorses the remaining reviews or guarantees their accuracy.
16.1. Univerax may organise, rank, recommend, or personalise Content, users, and Offerings using factors such as:
a. relevance to a search or selected preference;
b. Content or listing quality and completeness;
c. location, language, availability, compatibility, or category;
d. user interactions and stated interests;
e. reliability, fulfilment, responsiveness, ratings, or policy compliance;
f. recency or popularity; and
g. paid promotion or commercial relationships, where clearly identified.
16.2. The relative importance of these factors may vary by feature and context. Material information about the principal parameters of a ranking or recommendation system will be provided where required by law.
16.3. Sponsored or paid placements will be identified in a clear manner appropriate to the interface.
16.4. Where required by applicable law, users will be offered controls to influence personalisation or select an available recommendation option not based on profiling.
16.5. Rankings and recommendations are discovery tools, not guarantees of suitability, quality, legality, or outcome.
17.1. Univerax may provide estimates, dashboards, statistics, audience insights, performance indicators, or other analytics.
17.2. Analytics may be delayed, incomplete, aggregated, modelled, or affected by technical and measurement limitations. Unless expressly stated otherwise, they are informational and do not guarantee revenue, reach, engagement, or any other result.
17.3. You must not use analytics to unlawfully identify individuals, discriminate against them, make prohibited inferences, or violate privacy and data-protection rights.
17.4. Personal data used for analytics is handled as described in the Privacy Policy and applicable notices.
18.1. The Platform may provide AI-assisted creation, search, translation, summarisation, recommendations, moderation, support, analytics, or other automated features.
18.2. AI output may be inaccurate, incomplete, biased, outdated, unsuitable, or similar to output generated for another user. You must review AI output before relying on, publishing, or using it.
18.3. AI output does not constitute legal, medical, financial, tax, safety, or other professional advice.
18.4. You are responsible for ensuring that your prompts, source materials, instructions, and use of output are lawful and do not infringe another person’s rights.
18.5. You must not use AI features to impersonate, deceive, exploit, unlawfully discriminate against, or cause material harm to another person.
18.6. Where reasonably appropriate or required by law, Univerax will indicate when users are interacting with AI or viewing AI-generated or materially AI-modified Content.
18.7. Material automated decisions and profiling will be handled under the Privacy Policy and the applicable AI transparency policy. Where required by law, affected users may obtain meaningful information, express their point of view, contest a decision, request human review, or exercise an available opt-out.
18.8. Specific AI features may be subject to additional AI Terms presented before use. In case of conflict regarding an AI feature, those specific terms govern that feature, subject to mandatory law.
19.1. A Digital Twin may act only within the functions, permissions, data sources, and controls made available or authorised for it.
19.2. A user who creates, configures, or deploys a Digital Twin must:
a. have the necessary rights and permissions for all identity elements, Content, data, voice, image, likeness, and knowledge sources used;
b. clearly identify synthetic or automated interaction where required or reasonably necessary to avoid deception;
c. configure and supervise the Digital Twin appropriately;
d. maintain reasonable safeguards against unauthorised actions or disclosure; and
e. promptly correct or disable materially inaccurate, unlawful, or harmful behaviour.
19.3. A Digital Twin must not falsely claim to be a human, enter into commitments beyond its authorised scope, or be used to evade identity, safety, professional, or legal requirements.
19.4. Univerax may provide controls to pause, restrict, correct, delete, or withdraw permissions from a Digital Twin. Availability of particular controls may depend on the feature and applicable law.
19.5. Additional Digital Twin Terms may apply. Those terms govern Digital Twin-specific matters in the event of conflict, subject to mandatory law.
20.1. You retain ownership of rights you hold in your User Content.
20.2. By making User Content available through the Platform, you grant Univerax a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, adapt for technical compatibility, transmit, display, communicate, and otherwise use that User Content only as reasonably necessary to:
a. operate, secure, and provide the Platform;
b. make the Content available to the audiences and through the functions you select;
c. promote the Platform or your public Offering, subject to applicable settings and law;
d. prevent fraud, enforce rules, and comply with legal obligations; and
e. exercise other permissions you expressly grant.
20.3. This licence is transferable or sublicensable only to our service providers, contractors, affiliates, and technical partners to the extent reasonably necessary for these purposes.
20.4. The licence ends when the relevant Content is deleted or your account closes, except:
a. where copies must be retained for legal, security, fraud-prevention, backup, evidence, or dispute purposes;
b. where Content has been shared with others and remains lawfully available to them;
c. where a transaction, licence, or contract requires continued availability; or
d. to the extent technically necessary for a reasonable backup-removal cycle.
20.5. You represent that you have all rights necessary to submit the User Content and grant this licence.
20.6. We will not use private User Content to train general-purpose AI models unless we have a lawful basis and provide the information, consent, or controls required by applicable law and our published policies.
21.1. The Platform, excluding User Content, is owned by or licensed to Univerax and is protected by intellectual property and other laws.
21.2. Subject to these Terms, Univerax grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Platform for its intended purposes.
21.3. No rights are granted by implication. You may not use Univerax names, trademarks, logos, interface elements, or proprietary Content without prior permission, except as permitted by law.
21.4. If you believe that Content infringes your intellectual property rights, contact info@univerax.com and provide sufficient information to identify the work, the allegedly infringing material, your authority, and the basis of the claim.
22.1. Users may report Content, Offerings, accounts, or conduct through available reporting tools or by contacting support@univerax.com.
22.2. A report should identify the relevant material or conduct, explain the concern, and include supporting information where reasonably available.
22.3. Univerax may use human review, automated tools, or both to detect, prioritise, assess, and act on suspected violations. Automated tools may make errors, and human oversight will be provided where required by law or appropriate to the decision.
22.4. Depending on the nature, severity, frequency, context, and impact of a violation, we may:
a. reduce visibility or distribution;
b. add a warning, label, or age restriction;
c. remove or disable access to Content or an Offering;
d. restrict communications, transactions, monetisation, AI, Digital Twin, or other features;
e. delay or withhold payment where legally justified;
f. suspend or terminate an account; or
g. notify relevant authorities where required or reasonably necessary.
22.5. We will apply enforcement measures in a diligent, objective, proportionate, and non-arbitrary manner, taking account of users’ rights and legitimate interests.
22.6. Where required by applicable law, we will provide the affected user with a statement of reasons identifying the decision, its material basis, whether automated means were used, and available appeal or redress options.
22.7. We may restrict the processing of manifestly unfounded reports or suspend users who frequently provide manifestly illegal Content, but only after appropriate warning and an assessment of the relevant circumstances where required by law.
23.1. You may stop using the Platform and request account closure through available account controls or by contacting support@univerax.com.
23.2. We may restrict, suspend, or terminate access where reasonably necessary because of:
a. a material or repeated breach of these Terms or applicable policies;
b. illegal, fraudulent, harmful, or unsafe activity;
c. a significant security or integrity risk;
d. failure to complete required verification;
e. non-payment or a material transaction dispute;
f. a request or obligation imposed by a competent authority; or
g. discontinuation of the Platform or a relevant service.
23.3. Except where immediate action is reasonably necessary or legally required, we will provide reasonable notice and an opportunity to address a remediable issue.
23.4. Immediate action may be taken where delay could expose a person, the Platform, or a third party to harm; facilitate fraud or illegality; compromise an investigation or security; or violate a legal obligation.
23.5. Where applicable law requires advance notice to a business user, including for termination of the entire service, we will provide that notice unless a lawful exception applies.
23.6. We will provide reasons for a restriction, suspension, or termination unless prohibited by law or where disclosure would create a material security, fraud, or safety risk.
23.7. You may appeal an eligible enforcement decision using the mechanism identified in the notice or by contacting support@univerax.com. Appeals will be reviewed in a timely, non-discriminatory, and non-arbitrary manner and, where required, with appropriate human involvement.
23.8. Termination does not affect accrued rights, payment obligations, active licences, completed transactions, or provisions that by their nature should survive termination.
24.1. We aim to provide the Platform with reasonable skill and care but do not guarantee uninterrupted or error-free availability.
24.2. We may maintain, update, modify, replace, or discontinue features for security, legal, technical, operational, or business reasons.
24.3. We will provide notice of material adverse changes where reasonably practicable and where required by law. If a change materially affects a paid Service, applicable statutory or contractual remedies remain available.
24.4. We do not guarantee that every function will be available in every country, language, device, or account type.
24.5. Users are responsible for maintaining compatible devices, software, connectivity, and backups of Content where appropriate.
25.1. The Platform may integrate with or link to third-party services, websites, payment providers, social networks, or applications.
25.2. Third-party services are governed by their own terms and privacy practices. Univerax is not responsible for third-party services merely because they are linked or integrated, except to the extent responsibility cannot lawfully be excluded.
25.3. A link or integration does not constitute endorsement.
26.1. Our processing of personal data is described in the Privacy Policy and related notices.
26.2. Cookies and similar technologies are addressed in the Cookies Policy.
26.3. Where a Creator independently determines why and how personal data is processed, that Creator may act as a separate controller and must comply with applicable data-protection law.
26.4. You must not collect, use, disclose, export, or otherwise process personal data obtained through the Platform except for a lawful, transparent, and Platform-related purpose.
26.5. Privacy questions and requests may be sent to author@univerax.com.
27.1. Nothing in these Terms excludes warranties, remedies, or obligations that cannot lawfully be excluded.
27.2. Subject to Section 27.1, the Platform may be provided on an “as available” basis. We do not warrant that:
a. every user, Offering, review, AI output, Digital Twin response, or item of Content is accurate, complete, lawful, suitable, or reliable;
b. the Platform will meet every individual requirement;
c. all defects or interruptions will be corrected immediately; or
d. use of the Platform will produce a particular commercial, professional, social, or financial outcome.
27.3. Any disclaimer concerning Creator Offerings does not apply where Univerax is expressly the contracting supplier or is otherwise responsible under applicable law.
28.1. Nothing in these Terms excludes or limits liability for:
a. death or personal injury caused by negligence where such liability cannot be limited;
b. fraud or fraudulent misrepresentation;
c. wilful misconduct or gross negligence where liability cannot be limited;
d. breach of mandatory Consumer or data-protection rights; or
e. any other liability that cannot lawfully be excluded or limited.
28.2. If you are a Consumer, Univerax remains responsible for losses that are a reasonably foreseeable consequence of our breach of these Terms or failure to use legally required care. We are not responsible for losses that are not reasonably foreseeable, subject to mandatory law.
28.3. If you use the Platform for business purposes, then, to the maximum extent permitted by law, Univerax will not be liable for indirect or consequential loss, loss of profit, revenue, business opportunity, anticipated savings, goodwill, reputation, or data.
28.4. Any aggregate liability cap applicable to business users must be stated in the Author Terms or other applicable business terms. No unstated monetary cap is created by these Terms.
28.5. Univerax is not responsible for a Creator’s independent acts, omissions, Content, or Offerings merely because they occur through the Platform. This does not affect liability imposed directly on Univerax by mandatory law.
28.6. You are responsible for reasonably foreseeable loss caused by your unlawful use of the Platform or material breach of these Terms, subject to applicable law.
29.1. If you use the Platform for business purposes, you will indemnify Univerax against third-party claims, damages, penalties, and reasonable costs arising from:
a. your unlawful Offering or business activity;
b. infringement by your User Content;
c. your breach of the Author Terms or these Terms; or
d. your violation of another person’s rights.
29.2. This obligation applies only to the extent the claim was caused by your act or omission and does not cover loss caused by Univerax’s own breach, negligence, or unlawful conduct.
29.3. This Section does not apply to Consumers acting solely in that capacity.
30.1. We may amend these Terms for legitimate reasons, including changes to law, regulation, security, Platform functionality, business models, or user protection.
30.2. We will publish the updated Terms and identify their effective date.
30.3. We will provide reasonable advance notice of material changes where required by law. The notice will explain the change and the user’s available options where appropriate.
30.4. Changes will not retroactively reduce accrued rights or alter completed transactions unless required by law or expressly agreed.
30.5. Business users will receive any minimum notice period required by applicable law. A shorter period may apply where legally permitted, including where immediate changes are required to address an unforeseen and imminent danger, fraud, malware, data breaches, cybersecurity risks, or a legal obligation.
30.6. If you do not agree to updated Terms, you may stop using the Platform and close your account before they take effect. Continued use after the effective date constitutes acceptance only to the extent permitted by law.
31.1. Please first contact support@univerax.com with a clear description of the issue and relevant transaction or account information.
31.2. Complaints will be considered fairly and within a reasonable time. We may request further information reasonably necessary to investigate.
31.3. Eligible users may use the internal complaint and appeal mechanisms described in the relevant decision notice or applicable policy.
31.4. Nothing in these Terms prevents a user from contacting a competent regulator, consumer-protection body, court, certified out-of-court dispute settlement body, or other authority where entitled to do so.
31.5. Consumers retain access to any mandatory alternative dispute resolution procedure or local court rights available under applicable law.
32.1. These Terms are governed by the laws of Tallinn, without prejudice to mandatory conflict-of-law rules.
32.2. If you are a Consumer, this choice of law does not deprive you of mandatory protections available under the law of your habitual residence. You may bring proceedings in any court that has jurisdiction under applicable mandatory law.
32.3. If you use the Platform for business purposes, the courts of Tallinn will have jurisdiction, unless the applicable Author Terms state a different valid forum or mandatory law requires otherwise.
32.4. If Tallinn is not configured or renders blank, this Section does not independently establish a governing law or exclusive forum; the applicable law and competent forum must be determined under mandatory conflict-of-law and jurisdiction rules.
33.1. No waiver. A failure or delay in enforcing a right does not waive that right.
33.2. Severability. If a provision is held invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue to apply.
33.3. Assignment. You may not transfer these Terms without our consent, except where mandatory law permits. We may transfer these Terms as part of a merger, reorganisation, sale, or transfer of the relevant business, provided that this does not reduce mandatory user rights.
33.4. Entire agreement. These Terms and the documents incorporated under Section 5 constitute the agreement concerning Platform use, without excluding representations or information that cannot lawfully be excluded.
33.5. Language. If these Terms are translated, the English version may serve as the reference version to the extent permitted by law. Mandatory language rights remain unaffected.
33.6. No third-party rights. Unless expressly stated or required by law, a person who is not a party to these Terms has no right to enforce them.
33.7. Electronic communications. You agree to receive contractual and service communications electronically, subject to applicable law. Marketing communications require the legal basis and choices described in the relevant communications policy.
