Premium Terms

Effective Date: [EFFECTIVE DATE]
Last Updated: [LAST UPDATED DATE]

These Premium Terms (“Premium Terms”) govern paid memberships, subscriptions, plan-based features, usage allowances, and other premium functionality offered through Univerax.com and its related services (the “Platform”).

The Platform is operated by [COMPANY LEGAL NAME] (“Univerax,” “we,” “us,” or “our”).

These Premium Terms apply together with:

The Terms of Use;

The Membership Agreement, where applicable;

The Privacy Policy;

The Refund and Cancellation Policy;

The selected plan description;

The checkout summary;

Any transaction-specific consumer information; and

Mandatory law.

By purchasing or activating a Premium plan, you agree to the terms applicable to that plan and billing period.

1. Premium Services

A Premium plan may provide access to features such as:

Increased account or usage limits;

Enhanced marketplace functionality;

Seller or Provider tools;

Advanced analytics;

Promotional or visibility tools;

Additional storage;

Priority support;

Artificial intelligence features;

Network or communication functions;

Reduced or alternative Platform fees;

Exclusive content;

Additional licenses or usage rights; or

Other benefits identified on the plan page.

The features actually included are determined by the plan information displayed before purchase.

No feature should be described as included unless it is active and available for the selected account type, country, and plan.

2. Eligibility

A Premium plan may require:

An active Univerax account;

A minimum age;

An eligible country;

A particular marketplace role;

Identity or business verification;

A supported payment method;

Compliance with Platform rules; or

Satisfaction of plan-specific conditions.

Some plans may be limited to Buyers, Sellers, Authors, Providers, Experts, businesses, or other specified user groups.

3. Plan Information

Before purchase, the plan page and checkout should clearly state:

Plan name;

Included features;

Material feature limits;

Billing period;

Price and currency;

Applicable taxes;

Additional charges;

Whether billing automatically renews;

Renewal price;

Trial or promotional conditions;

Cancellation method;

Effective cancellation date;

Refund conditions;

Usage limits;

Geographic restrictions; and

Any minimum commitment period.

The applicable plan information forms part of the subscription contract.

4. Order Process

Before placing a Premium order, the user should be able to:

Review the selected plan;

Review the total price;

Review the billing interval;

Review automatic-renewal information;

Correct input errors;

Access the applicable terms;

Review withdrawal and cancellation information; and

Clearly understand that the final action creates a payment obligation.

The order is formed at the point identified in the checkout flow, such as successful payment and subscription confirmation.

5. Payment Processing

Payments may be processed through independent payment gateways or financial service providers.

Depending on the payment architecture, the provider may collect full payment-card information directly. Univerax may receive limited information such as:

Transaction reference;

Payment status;

Amount and currency;

Masked payment information;

Billing cycle;

Renewal status;

Refund status; and

Fraud or risk indicators.

The payment provider may process data under its own terms and privacy notice.

Univerax must not represent that it stores complete payment-card information unless the actual technical and legal structure confirms this.

6. Billing Period

A plan may be billed:

Monthly;

Quarterly;

Annually;

For a fixed term;

Based on usage;

Through prepaid credits; or

Under another clearly disclosed model.

The billing period begins on the date shown in the order confirmation.

If billing occurs on a recurring date that does not exist in a later month, the renewal date may be adjusted according to the disclosed billing method.

7. Automatic Renewal

A Premium plan will renew automatically only where automatic renewal was clearly disclosed and validly agreed.

Before purchase, users must be informed of:

The recurring nature of the payment;

Renewal frequency;

Renewal price or calculation method;

Cancellation method;

Cancellation deadline; and

How to prevent the next charge.

Where required, Univerax will send a renewal or price-change notice before the next charge.

A user must be able to cancel future renewal through a reasonably accessible method.

8. Recurring Payment Authorization

By selecting an automatically renewing plan, the user authorizes the applicable payment provider to charge the disclosed recurring amount and applicable taxes using the selected payment method until cancellation or termination.

This authorization applies only to:

The selected plan;

The disclosed billing interval;

The applicable renewal price; and

Other clearly agreed recurring charges.

Material changes require the notice or renewed authorization required by law.

9. Free Trials

Where a free trial is offered, the offer must state:

Trial duration;

Included features;

Eligibility;

Usage limits;

Whether a payment method is required;

Conversion date;

Price after the trial;

Billing interval;

Cancellation method; and

Deadline for avoiding a charge.

A trial must not convert to a paid subscription unless this was clearly disclosed and the legally required authorization was obtained.

Users may be limited to one trial per person, account, household, business, payment method, or another disclosed eligibility unit.

Creating duplicate accounts to obtain repeated trials is prohibited.

10. Promotional Pricing

A discounted or promotional plan should identify:

Promotional price;

Standard price;

Promotion period;

Eligibility;

Renewal price;

Whether the discount applies once or repeatedly; and

Any geographic or account restrictions.

When the promotion ends, the subscription may continue at the disclosed standard or renewal price only where this was clearly communicated and validly agreed.

11. Taxes and Currency

Prices may be displayed exclusive or inclusive of taxes according to the user’s location and applicable law.

Before payment, the user should be shown:

Applicable currency;

Subtotal;

Taxes;

Mandatory fees;

Discounts;

Credits; and

Total payable amount.

Currency conversion may be performed by the payment provider or the user’s financial institution and may result in additional charges outside Univerax’s control.

12. Premium Access

Premium access generally begins when:

Payment is successfully completed;

The subscription is confirmed; or

A free trial is activated.

Feature activation may require reasonable technical processing or additional verification.

If a paid plan is not activated, the user should contact:

Support: [SUPPORT EMAIL OR FORM]

Univerax should provide access, correct the problem, extend the term, or issue another appropriate remedy where required.

13. Account-Based Access

Unless a plan expressly permits multiple users, Premium access is associated with the purchasing account.

Users must not:

Share account credentials;

Sell or rent Premium access;

Circumvent user or seat limits;

Transfer access without authorization;

Use automated accounts to multiply allowances; or

Provide Premium functionality as an unauthorized service to third parties.

Business or team plans may provide separate seat and administrator rules.

14. Usage Limits

A Premium plan may include limits concerning:

Storage;

Downloads;

Listings;

Projects;

Messages;

Bookings;

Users or seats;

Artificial intelligence usage;

API requests;

Analytics;

Promotional placement;

Support;

Processing capacity; or

Other resources.

Material limits must be disclosed before purchase.

“Unlimited” must not be used if undisclosed numerical or unreasonable restrictions apply.

Reasonable anti-abuse or technical controls may apply, but they must not contradict the advertised plan.

15. Credits and Usage-Based Features

Some Premium features may use credits or measured consumption.

The plan page should state:

Number of included credits;

How credits are consumed;

Whether unused credits carry forward;

Expiry;

Purchase of additional credits;

Refund treatment;

Usage visibility; and

Consequences of cancellation.

Credits are not cash unless applicable law or the specific terms provide otherwise.

Mandatory refunds must not be replaced with credits without legally valid agreement.

16. Artificial Intelligence Features

A plan may include artificial intelligence or digital twin functionality.

Where such features are available:

Usage limits must be disclosed;

Outputs may be inaccurate or incomplete;

Users must review outputs before relying on them;

Users must have rights to submitted inputs;

Sensitive or confidential data should not be submitted unless expressly supported;

Prohibited content and use rules apply; and

Separate AI-specific terms may apply.

Premium status does not guarantee exclusive, unique, error-free, or professionally suitable AI output.

17. Seller and Provider Benefits

A Premium plan for Sellers or Providers may include:

Additional listings;

Enhanced analytics;

Promotional tools;

Alternative fee rates;

Portfolio features;

Priority review;

Increased service-request access; or

Other identified business functions.

Premium status does not guarantee:

Sales;

Leads;

Search ranking;

Customer engagement;

Revenue;

Provider acceptance;

Approval of every listing; or

Exemption from Platform rules.

Any reduced commission or fee benefit must be clearly described in the Fee Schedule.

18. Feature Changes

Univerax may improve, replace, or modify Premium features.

Materially adverse changes to an active paid plan must be handled according to:

The plan agreement;

The reason for the change;

Applicable notice requirements;

The remaining subscription period; and

Mandatory law.

Where required, users may be entitled to:

Continued access for the paid term;

An equivalent replacement;

A proportionate refund;

Cancellation; or

Another appropriate remedy.

This section does not authorize Univerax to remove the essential value of a paid plan without remedy.

19. Upgrades

A user may upgrade to a higher plan where available.

The upgrade page should explain:

When new features begin;

Immediate charge;

Credit for the current plan;

Proration method;

New renewal date;

New billing interval; and

Effect on existing credits or limits.

No proration method should be assumed unless it is displayed and supported by the billing system.

20. Downgrades

A downgrade may take effect:

Immediately;

At the end of the current billing period; or

On another disclosed date.

Before confirmation, the user should be informed of:

Features that will be lost;

New limits;

Effect on stored data;

Effect on active listings or projects;

Effect on credits; and

Next renewal price.

Univerax should provide a reasonable method to export or manage data where a downgrade would otherwise cause loss, when appropriate.

21. Cancellation

A user may cancel future renewal through:

Account Method: [SUBSCRIPTION CANCELLATION PATH]
Cancellation Form: [CANCELLATION FORM URL]
Support: [SUPPORT EMAIL]

Cancellation should be at least as accessible as subscription enrollment where required by applicable law.

The cancellation confirmation should state:

Cancellation date;

Last day of Premium access;

Whether another charge will occur;

Treatment of unused credits;

Data or feature consequences; and

Any available refund information.

Deleting an account and cancelling a subscription may be separate actions. The interface must explain the relationship between them.

22. Access After Cancellation

Unless a different rule is disclosed or mandatory law requires otherwise, cancellation of future renewal may allow continued Premium access until the end of the already-paid billing period.

After Premium access ends:

The account may revert to the free plan;

Premium-only features may stop;

Usage limits may decrease;

Premium promotional benefits may end;

Certain stored content may become inaccessible; and

Seller or Provider fee treatment may change for future transactions.

The treatment of existing orders and commitments should be clearly defined.

23. Refunds

Refund eligibility depends on:

Mandatory consumer law;

Whether Premium access began;

Whether the user requested immediate performance;

Whether the plan was used;

Billing error;

Duplicate payment;

Non-activation;

Material service failure;

Unauthorized payment;

Materially adverse feature changes; and

The Refund and Cancellation Policy.

Cancellation of renewal does not automatically create a refund for a period already supplied.

A general “no refunds” rule does not override mandatory rights.

24. Statutory Withdrawal

A consumer may have a statutory right to withdraw from a distance subscription contract.

The withdrawal period and consequences depend on the applicable law and whether the service began at the consumer’s request.

If Premium performance begins during the withdrawal period, the checkout may require a separate express request and explanation of any proportionate payment or loss-of-right consequences.

The general Terms of Use checkbox is not sufficient for this purpose.

25. Suggested Early-Performance Confirmation

Where legally required and approved by local counsel, checkout may use a separate, unselected confirmation such as:

I expressly request immediate activation of Premium services before the end of the applicable withdrawal period and acknowledge the consequences explained in the preliminary information.

The exact wording must be adapted to the transaction and applicable jurisdiction.

The system should record the wording, version, account, plan, date, time, language, and activation event.

26. Failed Payments

If a renewal payment fails, Univerax may:

Notify the user;

Retry the payment where authorized;

Request an updated payment method;

Apply a disclosed grace period;

Restrict Premium features; or

Cancel the subscription.

Univerax must not apply undisclosed late fees.

Retry timing and the grace period should reflect the actual payment system.

27. Price Changes

Univerax may change Premium prices for future purchases and renewals.

An existing subscription price may change only after:

Appropriate advance notice;

Disclosure of the new price;

Disclosure of the effective renewal date;

Provision of a cancellation method; and

Any renewed authorization required by law.

A price change will not ordinarily alter an already-paid billing period.

28. Suspension

Premium access may be suspended because of:

Failed payment;

Fraud or unauthorized payment;

Account compromise;

Material Terms violation;

Abuse of usage limits;

Legal requirements;

Security risk; or

Platform-wide technical issues.

Where appropriate, the user should receive notice and an opportunity to correct a remediable issue.

Suspension must not be used to avoid providing a legally required refund or remedy.

29. Termination by Univerax

Univerax may terminate a Premium subscription where reasonably necessary because of:

Material or repeated breach;

Fraud;

Unlawful activity;

Serious security risk;

Abuse of Platform resources;

Required legal action; or

Discontinuation of the plan.

Where termination is not caused by user breach, the user may be entitled to continued access, advance notice, proportionate refund, or another remedy under applicable law and the plan terms.

30. Discontinuation of a Plan

If a Premium plan is discontinued, Univerax should provide reasonable notice where possible.

Affected users may be offered:

Access until the end of the paid period;

Migration to an equivalent plan;

A proportionate refund;

Cancellation; or

Another appropriate arrangement.

Users must not be automatically moved to a materially more expensive plan without the notice and agreement required by law.

31. Privacy

Personal data is processed according to the:

Privacy Policy;

KVKK Privacy Notice;

GDPR Data Protection Notice, where applicable; and

Cookie Policy.

Subscription acceptance does not constitute consent to unrelated marketing, optional cookies, or unnecessary personal-data processing.

Payment providers may independently process payment information.

32. Mandatory Consumer Rights

Nothing in these Premium Terms excludes or restricts:

Statutory withdrawal rights;

Rights concerning non-performance;

Rights concerning defective or non-conforming digital services;

Rights concerning unauthorized payments;

Rights concerning misleading pricing;

Data-protection rights;

Rights against unfair contract terms; or

Access to competent authorities and courts.

Mandatory law prevails over conflicting provisions.

33. Changes to These Premium Terms

Univerax may update these Premium Terms for future subscriptions and renewals.

Material changes affecting an active subscription will be notified where required.

The version accepted at purchase or renewal should be recorded and remain accessible.

An update does not replace renewed consent or authorization where either is legally required.

34. Governing Law and Disputes

These Premium Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without prejudice to mandatory consumer protections.

Concerns should first be submitted through:

Support or Dispute Channel: [SUPPORT EMAIL OR DISPUTE FORM]

Subject to mandatory jurisdiction rules, disputes will be submitted to [COMPETENT COURTS OR DISPUTE FORUM].
