These License Terms govern the use of digital products, software, source code, templates, designs, documents, media, datasets, artificial-intelligence assets, and other licensed materials made available through Univerax (“Licensed Assets”).
These License Terms form part of the platform Terms of Use and apply together with the licence type, product description, checkout information, Author Terms, and any additional terms displayed for a Licensed Asset.
By purchasing, downloading, accessing, installing, copying, or using a Licensed Asset, you agree to these License Terms.
Univerax is operated by Zenlyai OÜ, with registered address at Harju maakond, Tallinn, Kesklinna linnaosa, Veskiposti tn 2-1002, 10138 https://ariregister.rik.ee/eng/company/17160305.
The creator, author, provider, or rights holder identified on the applicable listing is the “Licensor.” The individual or organisation obtaining rights to use the Licensed Asset is the “Licensee.”
Unless expressly stated otherwise, Univerax facilitates the transaction and delivery of the licence but does not acquire ownership of the Licensed Asset.
Subject to payment of applicable fees and compliance with these License Terms, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to use the Licensed Asset for the purposes permitted by the selected licence.
No ownership, copyright, trademark, patent, trade-secret, or other intellectual-property right is transferred to the Licensee.
Rights not expressly granted remain reserved by the Licensor and the relevant rights holders.
The applicable listing or checkout page may specify:
licence type;
permitted users;
number of installations, projects, products, clients, domains, or end products;
personal or commercial use;
modification rights;
distribution rights;
geographic scope;
licence duration;
update and support period;
source-file access;
attribution requirements; and
additional restrictions.
Those specific licence details form part of these License Terms. If there is a conflict, the expressly stated licence details for the purchased asset take priority, except where mandatory law provides otherwise.
Unless a listing expressly provides a different licence, the standard licence permits the Licensee to:
download and store one authorised copy;
use the Licensed Asset for the Licensee’s own lawful personal or internal business purposes;
make reasonable backup copies;
modify the Licensed Asset for permitted internal use;
incorporate the Licensed Asset into one end product or project where the original asset cannot be independently extracted or reused; and
display the resulting end product as reasonably necessary for the permitted purpose.
The standard licence does not permit resale, redistribution, sublicensing, public repository publication, or use as a competing standalone product.
A listing may offer commercial or extended rights.
A commercial licence may permit use in revenue-generating work, client projects, advertising, paid services, or commercial end products.
An extended licence may permit broader distribution, multiple projects, multiple clients, higher usage limits, or incorporation into products made available to end users.
Commercial or extended rights apply only where they are expressly purchased and described. Payment for a Licensed Asset does not automatically grant extended redistribution rights.
Where modification is permitted, the Licensee may adapt the Licensed Asset solely within the scope of the applicable licence.
Modifications do not transfer ownership of the original Licensed Asset. The Licensee owns only its independently created additions to the extent recognised by applicable law.
The Licensee may not claim authorship or exclusive ownership of the original Licensed Asset or prevent the Licensor from licensing it to others.
Unless expressly authorised in writing, the Licensee must not:
sell, share, distribute, lease, sublicense, or transfer the Licensed Asset in its original or substantially similar form;
make source files or editable files available to unauthorised persons;
upload the Licensed Asset to public repositories, file-sharing services, stock libraries, template marketplaces, or competing platforms;
allow another person to extract or reuse the Licensed Asset independently from an end product;
remove or falsify copyright, attribution, watermark, licence, or rights-management information;
use the Licensed Asset unlawfully, deceptively, or in a manner that infringes third-party rights;
use it to create malware, phishing, surveillance, discriminatory, abusive, or prohibited systems;
use personal data contained in an asset without a lawful basis;
circumvent technical protection or licence-control mechanisms;
represent the Licensed Asset as exclusively created by the Licensee;
register the Licensed Asset or a confusingly similar element as a trademark, design, patent, or other exclusive right;
use the Licensed Asset to train, fine-tune, evaluate, or build an artificial-intelligence model unless the listing expressly grants that right; or
use an individual’s name, image, voice, likeness, or biometric characteristics beyond the expressly licensed scope.
A Licensed Asset may be shared with employees, contractors, or clients only where:
access is necessary for the permitted project;
each person is bound by confidentiality and use restrictions;
the Licensee remains responsible for their conduct;
access ends when no longer required; and
the asset is not retained for unrelated reuse.
A client does not receive broader rights than the Licensee unless a transfer or extended licence is expressly permitted.
A Licensed Asset may include open-source or third-party components governed by separate terms.
The listing should identify material third-party components where required. The Licensee must comply with all applicable third-party licences.
These License Terms do not restrict rights granted directly under a valid open-source licence. They also do not expand rights that the Licensor does not own or control.
Updates, maintenance, compatibility changes, and support are included only where stated in the listing or required by applicable law.
Support does not normally include:
custom development;
installation on unsupported systems;
modification by third parties;
correction of problems caused by external services;
compatibility with undisclosed configurations; or
training or consulting not included in the purchase.
The Licensor may discontinue optional updates or support after any disclosed support period, subject to mandatory obligations.
Digital delivery may occur through download, account access, API access, repository access, email, or another method described in the listing.
The Licensee is responsible for maintaining secure access credentials and downloading available files within any disclosed access period.
Univerax may restrict downloads where reasonably necessary to prevent fraud, unauthorised sharing, security threats, payment reversals, or policy violations.
Where the Licensee is a consumer, mandatory consumer rights remain unaffected.
Digital content or services must conform to the contract where required by applicable law. Available remedies may include bringing the content into conformity, a price reduction, termination, refund, or another mandatory remedy.
Any waiver of a withdrawal right for immediately supplied digital content is effective only where all legally required information, express consent, and acknowledgement have been obtained.
Nothing in these License Terms excludes rights that cannot legally be waived.
A refund does not normally permit continued use of a Licensed Asset.
Where a licence is refunded, reversed, cancelled, or lawfully terminated, the Licensee must:
stop using the Licensed Asset;
delete accessible copies;
stop distributing affected end products where legally required;
remove access provided to team members or clients; and
certify deletion if reasonably requested.
Refund eligibility is governed by mandatory law, the applicable Refund Policy, and the specific transaction terms.
The Licensor represents that it owns or controls the rights necessary to grant the stated licence.
The Licensor must not knowingly provide assets that:
infringe intellectual-property or privacy rights;
contain undisclosed malicious code;
include unlawfully obtained data;
misuse a person’s identity or likeness; or
materially differ from the listing.
Any additional warranty must be expressly stated.
A person who believes a Licensed Asset infringes their rights may submit a notice to info@univerax.com containing sufficient identification, ownership, location, contact, and supporting information.
Univerax may restrict access while reviewing a credible complaint and may request information from the Licensor and Licensee.
False, abusive, or misleading infringement notices may result in account action and legal responsibility.
Except for express warranties and mandatory legal obligations, Licensed Assets are provided on an “as available” basis.
Neither Univerax nor the Licensor guarantees that an asset will meet every purpose, remain compatible with every external system, produce a particular commercial result, or operate without interruption.
The Licensee is responsible for reviewing listing requirements and testing suitability before material deployment.
To the maximum extent permitted by law, neither Univerax nor the Licensor will be liable for indirect, incidental, special, punitive, or consequential loss arising from use of a Licensed Asset.
Nothing excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or mandatory consumer remedies.
Any applicable financial liability cap should be stated in the Terms of Use, listing, or separate written agreement.
A licence may be terminated where the Licensee:
materially breaches these License Terms;
distributes an asset without permission;
infringes third-party rights;
fails to pay applicable fees;
circumvents licence controls;
uses the asset for unlawful or prohibited purposes; or
fails to remedy a breach after reasonable notice where a remedy is possible.
Upon termination, the Licensee must stop using and distributing the Licensed Asset and delete copies, except where retention is legally required.
Termination does not affect accrued rights, completed claims, payment obligations, or provisions intended to survive.
Where reasonably necessary to investigate suspected licence misuse, the Licensee may be asked to provide limited evidence of the applicable licence, authorised users, installations, projects, or distribution.
Verification must be proportionate and conducted in accordance with applicable privacy and data-protection requirements.
These License Terms are governed by the laws identified in the platform Terms of Use and the legal jurisdiction specified by Tallinn, without limiting mandatory rights under applicable law.
