This Free Items Policy (“Policy”) applies to digital products, services, trials, samples, promotional access, complimentary licenses, and other offerings made available without a separate purchase price through Univerax.com and its related marketplace services (the “Platform”).
The Platform is operated by [COMPANY LEGAL NAME] (“Univerax,” “we,” “us,” or “our”).
This Policy applies together with:
The Terms of Use;
The Digital Product License Terms;
The Seller, Author and Service Provider Terms;
The Privacy Policy;
Any promotion-specific rules;
The relevant listing; and
Mandatory law.
A “Free Item” may include:
A digital product offered at no monetary price;
A free License;
A trial or demonstration version;
A sample file;
Limited-time promotional access;
A complimentary service;
A free consultation or lesson;
A promotional credit;
A giveaway item;
A beta feature; or
Another offering clearly identified as free.
A Free Item is not automatically free from conditions, License restrictions, eligibility rules, taxes, third-party costs, or usage limitations.
A Free Item may be provided by:
An independent Author or Seller;
An independent Service Provider;
Univerax; or
A promotional partner identified in the relevant offer.
Unless Univerax is expressly identified as the provider, Univerax operates the marketplace infrastructure and is not the creator or direct provider of an independent user’s Free Item.
The listing or promotion should identify the relevant provider.
Free Items may be subject to eligibility conditions, including:
Account registration;
Age requirements;
Country or regional availability;
A verified email address;
Seller or Provider status;
New-user eligibility;
One redemption per person or account;
Promotional period;
Available quantity;
Category requirements; or
Compliance with Platform rules.
Eligibility conditions must be disclosed before redemption where reasonably possible.
Users must not create duplicate or misleading accounts to evade an eligibility limit.
Publication of a Free Item does not guarantee indefinite availability.
Subject to applicable law and any express commitment, a Free Item may be:
Limited in quantity;
Available for a limited period;
Restricted by country;
Withdrawn before redemption;
Replaced;
Updated;
Suspended for security or legal reasons; or
Discontinued.
Once a valid License has been granted, later removal from the marketplace does not automatically terminate that License unless:
The License terms permit termination;
The Free Item is unlawful or infringing;
The item creates a security risk;
The user violates the License;
The access was expressly temporary; or
Termination is otherwise permitted by law.
Unless the listing expressly states otherwise, a free Digital Product is licensed rather than sold.
The applicable listing and Digital Product License Terms determine:
Whether personal or commercial use is allowed;
Number of projects;
Number of users or installations;
Client use;
Modification rights;
Attribution requirements;
Redistribution restrictions;
Support and update rights;
License duration; and
Other usage conditions.
The fact that a product is free does not mean it is:
Public domain;
Copyright-free;
Open source;
Available for unrestricted commercial use;
Transferable;
Sublicensable; or
Permitted for resale.
Unless the applicable License expressly permits otherwise, users must not:
Resell a Free Item;
Redistribute its source files;
Upload it to another marketplace or repository;
Share download links or account access;
Sublicense it;
Claim authorship or ownership;
Remove required copyright or attribution information;
Use it beyond disclosed project, user, client, or installation limits;
Use it to create a directly competing standalone asset;
Use it unlawfully or deceptively; or
Circumvent access or eligibility controls.
Modifying a Free Item does not remove the underlying License restrictions.
A Free Item may require attribution.
If attribution is required, the listing or License Summary should explain:
Required wording;
Placement;
Link requirements;
Whether attribution must remain visible;
Whether a paid License can remove the requirement; and
Any medium-specific conditions.
No attribution requirement should be assumed unless it is disclosed.
Users must not remove legally required notices or falsely imply endorsement by the Author or Univerax.
A trial or demonstration may:
Provide limited features;
Include watermarks;
Limit output quality;
Restrict commercial use;
Expire after a stated period;
Restrict downloads or exports;
Limit usage volume; or
Require conversion to a paid plan for continued access.
Trial limitations must be stated clearly.
Unless the user separately authorizes a paid transaction, expiry of a free trial must not automatically create a payment obligation.
If payment information is requested for a trial that converts to a paid subscription, the price, renewal date, cancellation method, and conversion conditions must be clearly disclosed before enrollment.
A promotion may provide temporary access to a product, service, Premium feature, or account function.
The promotion-specific terms should state:
Eligibility;
Start and end date;
Geographic scope;
Redemption method;
Usage limits;
Whether a payment method is required;
Whether access expires;
Whether unused benefits carry forward;
Whether the promotion can be combined with others; and
Any conversion to a paid service.
Univerax or the provider may reject fraudulent, duplicate, automated, or otherwise ineligible redemptions.
A free service may be subject to:
Limited duration;
Limited scope;
Provider availability;
Appointment requirements;
One session per user;
Excluded deliverables;
No revision entitlement;
Cancellation conditions; and
Other disclosed restrictions.
A free consultation does not automatically create an ongoing professional relationship or a commitment to provide further services.
Where a regulated professional service is involved, the Provider must still hold required qualifications and comply with applicable duties.
Free appointments may reserve limited Provider capacity.
The applicable booking should disclose:
Appointment time;
Time zone;
Duration;
Rescheduling conditions;
Cancellation method;
Waiting period; and
No-show consequences.
Repeated no-shows or abusive bookings may result in restrictions on future free bookings.
No-show enforcement must be proportionate and must not remove unrelated legal rights.
Unless the listing expressly states otherwise, a Free Item does not include guaranteed:
Technical support;
Installation;
Customization;
Updates;
Compatibility assistance;
Migration;
Maintenance; or
Response times.
If support or updates are promised, the scope and duration should be clearly stated.
A lack of optional support does not remove responsibilities relating to malware, unlawful content, material misdescription, or mandatory rights.
An independent Author, Seller, or Service Provider is responsible for:
The accuracy of the listing;
Having necessary intellectual property rights;
The safety of supplied files;
Compliance with the disclosed License;
Promised support or updates;
Professional qualifications;
Performance of a promised free service; and
Applicable law.
Univerax may moderate, restrict, or remove a Free Item but does not automatically become its Author or Provider.
Free Items must not contain:
Malware;
Ransomware;
Unauthorized tracking;
Destructive code;
Stolen content;
Pirated software;
Confidential information;
Infringing materials;
Fraudulent functionality; or
Undisclosed harmful components.
Suspected security or intellectual property issues may be reported through:
Security Report: [SECURITY REPORT EMAIL OR FORM]
IP Complaint: [IP COMPLAINT EMAIL OR FORM]
Univerax may disable access while investigating a credible complaint.
A Free Item must not be used to collect personal data without an appropriate legal basis and required notice.
Providers must not use free downloads, consultations, or trials to:
Add users to marketing lists without required permission;
Request unnecessary sensitive information;
Harvest contact details;
Install unauthorized tracking;
Disclose user information; or
Circumvent Platform privacy controls.
Personal data is processed according to the Privacy Policy, KVKK Privacy Notice, GDPR Data Protection Notice where applicable, and Cookie Policy.
A user who obtains a Free Item may be permitted to submit a review.
A review must reflect a genuine experience and must disclose any material incentive where required.
Providers must not:
Require a positive review as a condition of access;
Purchase or fabricate reviews;
Punish a user for a good-faith negative review; or
Misrepresent free redemptions as paid purchases.
The Platform may identify whether a review relates to a free or promotional transaction where appropriate.
A Free Item with no amount paid does not ordinarily produce a monetary refund.
However, depending on the circumstances, available remedies may include:
Restoring access;
Replacing a corrupted file;
Correcting an error;
Removing unsafe content;
Terminating an unlawful License;
Reinstating a promotional entitlement; or
Refunding an amount actually paid for a related transaction where legally required.
If a user paid taxes, fees, or another charge connected with a purportedly free offer, the treatment of those amounts must be disclosed and assessed under applicable law.
A promotional credit is not necessarily cash and may be subject to disclosed:
Expiry;
Eligible products or services;
Minimum order value;
Country or currency restrictions;
Non-transferability;
Single-use restrictions; and
Fraud controls.
Promotional credit must not be described in a misleading way.
Mandatory refunds must not be replaced with promotional credit unless the user validly agrees and applicable law permits it.
Prohibited conduct includes:
Creating multiple accounts to claim the same offer;
Using bots or scripts to obtain limited items;
Reselling access codes;
Manipulating referral or promotional systems;
Exploiting technical errors;
Providing false eligibility information;
Coordinating fraudulent redemptions; or
Using Free Items for unlawful purposes.
Univerax may cancel an abusive redemption, restrict access, suspend an account, or take another proportionate measure.
Good-faith use of a legal or consumer right must not be classified as abuse.
If a paid product or service is mistakenly displayed as free because of a clear technical, configuration, or pricing error, Univerax or the provider may correct the error before a binding transaction is formed.
If an order has already formed, cancellation or correction must comply with applicable contract and consumer law.
A general “pricing error” clause does not authorize arbitrary cancellation of confirmed transactions.
Where a Free Item is discontinued, Univerax or the Provider may restrict future acquisition.
Existing access may continue or end according to:
The applicable License;
Whether access was stated to be temporary;
Security or legal requirements;
Technical availability;
Provider commitments; and
Mandatory law.
Users should retain permitted backup copies where the License allows.
Univerax does not guarantee permanent hosting of every Free Item unless expressly promised.
A Provider may update or replace a Free Item.
An update must not introduce:
Malware;
Undisclosed tracking;
Materially different License restrictions applied retroactively;
Unlawful content; or
Deceptive functionality.
Where an update materially affects users, appropriate information should be provided.
Access to a Free Item or related feature may be suspended or terminated because of:
License violation;
Fraud;
Security risk;
Intellectual property complaint;
Unlawful use;
Eligibility failure;
Platform abuse;
Legal requirement; or
Discontinuation of temporary access.
Where appropriate and legally required, the user will receive notice or an opportunity to challenge the action.
Free Items may be provided with limited support and functionality as disclosed.
To the maximum extent permitted by law, Univerax does not guarantee that every Free Item will remain available or meet every user’s requirements.
Nothing in this Policy excludes:
Liability that cannot lawfully be excluded;
Rights concerning malware or unsafe files;
Rights concerning unlawful or infringing content;
Data-protection rights;
Rights concerning misleading promotions; or
Other mandatory statutory protections.
Univerax may update this Policy for future Free Items and promotions.
The License and promotion terms applicable when a Free Item was obtained should be recorded where they affect continuing usage rights.
Changes must not retroactively remove vested rights unless permitted by the applicable terms and law.
