The platform provides technology that may enable Authors and customers to discover, communicate, transact, book services, license content, and manage orders. The applicable listing or checkout page will identify the contracting parties and any specific commercial terms.
To act as an Author, you must:
be at least 18 years old and legally capable of entering into binding contracts;
provide complete, accurate, and current registration information;
have authority to act for any business or organisation you represent;
maintain all licences, registrations, permissions, insurance, and professional qualifications required for your activities;
successfully complete any identity, business, tax, payment, or compliance verification requested by Univerax; and
comply with all laws applicable to your location, customers, products, content, and services.
You may not create an Author account for a prohibited, suspended, fraudulent, or misleading business.
You are responsible for:
protecting your login credentials;
activities performed through your account;
maintaining accurate profile, contact, payout, tax, and availability information;
promptly notifying Univerax of suspected unauthorised access;
ensuring that team members and representatives comply with these Author Terms; and
keeping records reasonably necessary to support your listings and transactions.
You must not sell, transfer, rent, or share your Author account without prior written approval from Univerax.
You may publish products, services, digital assets, articles, media, professional information, availability, prices, and other materials (“Author Content”).
Author Content must be accurate, lawful, current, and not misleading. Each listing must clearly disclose, where applicable:
the product, service, licence, or deliverable offered;
total price and mandatory charges;
delivery method and estimated timeframe;
booking availability and relevant limitations;
cancellation, refund, or rescheduling conditions;
licence scope and usage restrictions;
material technical or compatibility requirements;
whether artificial intelligence was materially used in creating the deliverable;
required customer actions or dependencies; and
any legally required warnings, qualifications, or disclosures.
You must promptly correct or remove inaccurate or outdated listings.
You retain ownership of Author Content to the extent you own it.
By uploading or publishing Author Content, you grant Univerax a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, translate, display, distribute, promote, and technically adapt that content solely as reasonably necessary to:
operate and secure the platform;
display and market your listings;
process transactions and customer access;
provide search, recommendation, analytics, and accessibility features;
prevent fraud and policy violations; and
comply with legal obligations.
This licence ends when the content is deleted, except where continued retention or use is reasonably required for completed transactions, customer licences, backups, dispute resolution, fraud prevention, or legal compliance.
You represent and warrant that:
you own or have all rights necessary to use and license Author Content;
your content and offerings do not infringe intellectual-property, privacy, publicity, confidentiality, or other rights;
your listings and communications are not deceptive;
your products and services are safe and legally permitted;
you will deliver orders and reservations professionally and as described; and
you will not upload malicious code, hidden tracking tools, or materials designed to compromise another person or system.
When you accept an order or reservation, you must fulfil it according to the listing, confirmed schedule, and applicable customer terms.
You must:
maintain accurate availability and capacity;
avoid double bookings;
communicate material delays promptly;
obtain customer approval for material changes;
provide agreed deliverables within the stated period;
use customer information only for the relevant transaction; and
maintain reasonable evidence of delivery or completion.
You may not require customers to complete off-platform payments or communications for the purpose of avoiding platform fees, protections, or records.
You are responsible for setting lawful and accurate prices unless a specific programme provides otherwise.
Before confirming a transaction, the platform may display:
the customer price;
platform fees or commissions;
payment-processing charges;
applicable taxes or withholding;
refunds, deductions, reserves, or adjustments; and
the estimated Author payout.
By accepting a transaction, you authorise Univerax and its payment providers to collect, deduct, hold, refund, reverse, and pay amounts in accordance with the displayed commercial terms and applicable policies.
Payouts may be delayed or withheld where reasonably necessary to address refunds, chargebacks, fraud, sanctions, verification failures, legal orders, negative balances, or material policy violations.
You are responsible for determining, reporting, and paying taxes applicable to your earnings and activities, except where Univerax or a payment provider is legally required to collect, report, deduct, or remit an amount.
You must provide accurate tax information and documentation upon request. Univerax does not provide individual tax advice.
You must comply with the cancellation, withdrawal, refund, and consumer-protection rules applicable to each transaction.
Nothing in these Author Terms limits mandatory customer rights.
Univerax may issue or facilitate a refund, credit, reversal, or other remedy where:
you fail to deliver as agreed;
an offering is materially different from its description;
a transaction violates law or platform policy;
fraud or unauthorised payment is reasonably suspected;
a competent authority requires action; or
a mandatory customer right applies.
Where reasonably possible, you will be notified and permitted to provide relevant evidence.
You may access customer information only for legitimate purposes connected with the relevant order, service, reservation, support request, or legal obligation.
You must not:
sell customer information;
use it for unrelated advertising;
add customers to external marketing lists without valid permission;
disclose it to unauthorised parties;
retain it longer than necessary; or
use it to discriminate, manipulate, harass, or profile customers unlawfully.
You must implement appropriate safeguards and promptly report suspected personal-data breaches affecting platform users.
Additional processing obligations may be set out in the Privacy Policy or a separate data-processing agreement.
Authors must not:
offer illegal, unsafe, counterfeit, stolen, infringing, or prohibited items;
manipulate rankings, reviews, traffic, referrals, or engagement;
create fake orders, accounts, identities, qualifications, or testimonials;
harass, threaten, discriminate against, or exploit users;
publish malware, phishing material, spam, or deceptive links;
impersonate another person or organisation;
evade fees, sanctions, verification, or enforcement measures;
use confidential or personal data without authority;
interfere with the platform or another user’s account;
promise guaranteed outcomes without a lawful and supportable basis; or
encourage conduct that violates platform policies.
You must not offer undisclosed compensation for positive reviews, retaliate against reviewers, or attempt to suppress genuine feedback through intimidation or deception.
You may report reviews believed to violate law or platform policy. Univerax may retain, remove, restrict, label, or investigate reviews according to its moderation policies.
Univerax may investigate suspected violations and take proportionate action, including:
requesting information or corrections;
reducing visibility;
removing or restricting content;
pausing listings or payouts;
cancelling transactions;
limiting account functions;
suspending or terminating an account; and
reporting conduct where legally required.
Where required by applicable law, Univerax will provide a statement of reasons for material restrictions, suspensions, or terminations and information about available complaint or appeal channels.
Immediate action may be taken where necessary to protect users, prevent fraud, comply with law, preserve system security, or address urgent harm.
Authors may challenge eligible moderation or account decisions by contacting support@univerax.com and providing:
account and listing details;
the decision being challenged;
relevant evidence; and
the requested resolution.
Univerax will review complaints fairly and within a reasonable period, subject to applicable law and the nature of the matter.
Unless expressly agreed otherwise in writing, Authors operate independently and are not employees, agents, partners, franchisees, or legal representatives of Univerax.
You control how you conduct your independent business, subject to platform rules and applicable law. Nothing in these Author Terms removes rights that cannot legally be excluded or changes a relationship that applicable law classifies differently based on its actual circumstances.
The platform may provide hosting, discovery, communication, transaction, reservation, analytics, or related technology. Unless expressly stated otherwise, Univerax does not guarantee customer demand, sales volume, search placement, income, uninterrupted availability, or the suitability of any customer.
Platform features may change as services, security requirements, and applicable laws develop.
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, punitive, or consequential losses, or for lost profits, revenue, data, opportunity, or goodwill, except where such exclusion is prohibited.
Nothing in these Author Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or other mandatory legal responsibility.
Any specific liability cap applicable to Authors should be stated in the general Terms of Use or an applicable written commercial agreement.
To the extent permitted by applicable law, you will be responsible for losses, claims, damages, penalties, and reasonable costs arising from:
your Author Content;
your products or services;
your breach of these Author Terms;
your violation of law;
infringement of third-party rights; or
disputes arising from your failure to fulfil a transaction.
This section does not apply to the extent a loss was caused by Univerax’s own unlawful conduct or breach.
You may stop using Author services, subject to outstanding orders, reservations, payouts, disputes, refunds, and legal obligations.
Termination does not eliminate obligations or rights accrued before termination. Provisions concerning completed transactions, licences, payments, taxes, confidentiality, disputes, liability, and legal compliance may survive.
Univerax may update these Author Terms to reflect changes in law, platform functionality, security, business operations, or policy.
Where required, Authors will receive reasonable advance notice of material changes. Changes may take effect sooner where necessary to address legal obligations, fraud, security risks, or urgent harm.
Continued use after the effective date constitutes acceptance where permitted by law.
These Author Terms are governed by the laws identified in the platform Terms of Use and the legal jurisdiction specified by Tallinn, without limiting mandatory rights or protections that apply under other applicable law.
